Why FilingPro?

Why Koyambedu Wholesale Market Clients Choose FilingPro

Expert LLP in Koyambedu Wholesale Market — qualified professionals, 15+ years experience, zero-penalty track record.

Tax-Book-Grade Documentation

Every Koyambedu Wholesale Market LLP file we maintain holds the FiLLiP, DPIN evidence, stamped LLP Agreement, Form 3 challan, Form 16 (Certificate of Incorporation), PAN/TAN, GST and MSME certificates, statutory registers and signed Form 9 consents — ready for any audit, FEMA review or NCLT proceeding.

LLP Practice Since The 2009 Notification

Our LLP filings stretch back to the early years following the 2009 notification of the LLP Act 2008. Familiarity with the FiLLiP form's evolution, Central Registration Centre review patterns, and Form 3 stamping practice across States gives our incorporation pack the precision that a newer practice cannot offer.

Form 3 Within Statutory Thirty Days

Form 3 is the LLP filing most often missed because partners assume incorporation closes the engagement. We treat Form 3 as part of the same engagement, calendar the thirty-day window from the certificate date, and file with stamped agreement before expiry — eliminating the uncapped Section 69 hundred-rupees-per-day default fee.

Tamil Nadu Stamp Schedule Applied Correctly

Duty payable on the agreement follows Article 40 of the State schedule, with the chargeable amount rising as the contribution moves up the slab. Computation runs against the agreed contribution figure, payment goes through the prescribed channel, and the challan is annexed to the agreement — admissibility under the Stamp Act stands beyond challenge.

Designated Partner Residency Verified

Section 7 requires at least one designated partner to clear the India-residence threshold of one-twenty days during the financial year (post Finance Act 2022). Passport entry stamps, Aadhaar issuance evidence and tax-residency status are cross-checked before FiLLiP is keyed — closing off the rejection that arises when residency proof is missing or weak.

Form 9 Consent Captured Cleanly

Each designated partner signs Form 9 consent before FiLLiP submission, with the signature and date matched against the partner's DSC certificate. The Central Registration Centre query about consent dates that often follows sloppy filing is foreclosed by this discipline.

Key Benefits

What Koyambedu Wholesale Market Clients Get

Every LLP Registration engagement delivers measurable, guaranteed outcomes — expert professionals, on time, every time.

Audit Only Above ₹25 Lakh / ₹40 Lakh
LLP audit is required only where contribution exceeds ₹25 lakh or turnover exceeds ₹40 lakh. Koyambedu Wholesale Market early-stage and small businesses operate without statutory audit cost until they cross the threshold.
Profit Share Exempt Under Section 10(2A)
Post-tax profit distributed to partners is exempt under Section 10(2A) of the Income-tax Act. There is no DDT and no buy-back tax — a structural advantage over the company form for Koyambedu Wholesale Market closely-held businesses.
Section 40(b) Partner Remuneration Deduction
Working partner remuneration and 12% interest on capital are deductible at LLP level under Section 40(b) (subject to limits) and taxable at partner level under Section 28(v) — a clean pass-through for Koyambedu Wholesale Market owner-operator LLPs.
FDI on Automatic Route
FDI in LLP is permitted on the automatic route up to 100% in sectors where 100% FDI is allowed under automatic route with no FDI-linked performance conditions — under FEMA NDI Rules 2019 Schedule VI. Koyambedu Wholesale Market businesses with overseas partners commission without RBI approval delays.
No Minimum Capital Requirement
Section 32 of the LLP Act permits contribution in cash, property, services or promissory notes — there is no minimum capital threshold. Koyambedu Wholesale Market LLPs are calibrated to actual business need rather than a statutory floor.
Perpetual Succession Under Section 14
Unlike a partnership firm which dissolves on partner exit (subject to agreement), the LLP enjoys perpetual succession under Section 14 — partner change does not affect the LLP's existence, contracts or assets. Koyambedu Wholesale Market businesses retain continuity through generations.

LLP Registration in Koyambedu Wholesale Market — Complete Guide

Duty on the agreement follows the State schedule with rates moving up the contribution slab. Insufficient stamping renders the deed unusable as evidence by virtue of the Stamp Act inadmissibility provision — a problem that surfaces precisely when partners reach for the document in a dispute. Computation, payment and proof preservation happen before signature, removing that exposure entirely.

How long does LLP registration take in Chennai?
Clean FiLLiP filings are typically approved within 7 to 15 working days — name reservation under RUN-LLP in 1 to 3 working days, FiLLiP scrutiny by the Central Registration Centre within 5 to 10 working days. The Certificate of Incorporation under Section 12 issues in Form 16 along with PAN and TAN. Form 3 (LLP Agreement) is then filed within 30 days of incorporation.
What is the minimum cost of LLP registration in Tamil Nadu?
Statutory cost depends on contribution — MCA fee on FiLLiP starts at ₹500 (contribution up to ₹1 lakh), Tamil Nadu stamp duty on the LLP Agreement starts at ₹500 under Article 40, and DSC class-3 for two designated partners is around ₹2,000-₹3,000. Add professional fees for FiLLiP drafting, custom LLP Agreement and Form 3 filing — FilingPro packages start at ₹6,500 inclusive of two DPINs.
Can a single person form an LLP?
No. Section 6 of the LLP Act 2008 mandates a minimum of two partners and Section 7 mandates a minimum of two designated partners (both individuals, with at least one resident in India). A single person seeking limited liability with sole control should consider an OPC (One Person Company) under Section 2(62) of the Companies Act 2013 instead. If LLP partners reduce below two for more than six months, the sole continuing partner attracts unlimited liability under Section 6(2).
Is a separate office required or can the registered office be a residence?
Under Section 13 of the LLP Act 2008, the registered office can be any premises (residential or commercial) so long as proof of address is filed and the premises is accessible for communication. For a residential premises, the rent agreement (if rented) and NOC from the owner along with a recent EB bill (under two months) are filed. Books of account under Section 34 must be maintainable at the registered office.
What is the difference in compliance burden between LLP and private limited company?
LLP compliance is materially lighter — only Form 11 (Annual Return by 30 May) and Form 8 (Statement of Account & Solvency by 30 October) are mandatory, with audit triggered only above ₹25 lakh contribution or ₹40 lakh turnover under Rule 24(8). A private limited company files MGT-7, AOC-4, DIR-3 KYC, DPT-3 and is subject to mandatory audit irrespective of turnover. LLP also has no DDT, no buy-back tax and partner profit share is exempt under Section 10(2A) of the IT Act.
What if Form 3 is not filed within 30 days?
Section 69 of the LLP Act 2008 imposes additional fee of ₹100 per day with no upper cap until Form 3 is actually filed (capped at ₹1,000 for Small LLPs under the 2022 amendment). For an LLP that delays Form 3 by say 200 days, the additional fee is ₹20,000 — often more than the entire incorporation cost. Schedule I default provisions also continue to apply during the gap, which may distort profit-sharing if not aligned with partner intent.
How can an LLP be closed or struck off?

A dormant LLP may file Form 24 for strike-off under Rule 37 of LLP Rules 2009 if compliant with returns. Solvent LLPs may opt for voluntary winding-up under Section 63 with NCLT supervision and IBBI-registered liquidator.

What is the role of NCLT in LLP matters?

NCLT exercises jurisdiction under Section 67 of the LLP Act 2008 over winding-up, restoration of struck-off LLPs, compromise schemes under Section 60, and partner-dispute applications. Appeals lie to NCLAT and thereafter the Supreme Court under Section 421.

What is compounding of offences under the LLP Act?

Section 39 of the LLP Act 2008 empowers the Regional Director to compound offences punishable with fine only. Compounding fee is up to the maximum fine prescribed for the offence and disposes of prosecution liability.

What is Section 30 fraudulent trading liability for partners?

Section 30 of the LLP Act 2008 extends unlimited personal liability of partners involved in fraudulent trading or carrying on business with intent to defraud creditors, piercing the limited-liability protection ordinarily available under Section 26.

Can an LLP carry on real-estate business in Chennai?

Yes, an LLP may carry on real-estate business subject to TNRERA registration under the Tamil Nadu Real Estate (Regulation and Development) Rules 2017 and any sector-specific licences. The LLP form does not bar real-estate activity in itself.

What is Form 3 for LLP?

Form 3 is the LLP Agreement filing form under Section 23(2) of the LLP Act 2008. It must be filed within 30 days of incorporation or change in agreement with the original or supplementary LLP Agreement annexed.

What is an LLP and the policy origin of the LLP Act 2008

International benchmarks and OECD considerations

The LLP Act 2008 was drafted with explicit reference to the United Kingdom's Limited Liability Partnerships Act 2000, the United States Uniform Limited Liability Company Act (which adopts the LLC nomenclature for a similar economic vehicle), and the Singapore Limited Liability Partnerships Act 2005. The OECD Corporate Governance Factbook records that hybrid vehicles of this kind have proliferated across jurisdictions to support professional-services firms and small-to-medium enterprises. The World Bank's earlier Doing Business indicators ranked India's company-incorporation procedures critically, prompting the Ministry of Corporate Affairs to consolidate ease-of-doing-business reforms — including the MCA21 v3 platform and the FiLLiP integrated form — which have reduced LLP incorporation timelines from several weeks under the original LLP-Form-1 architecture to a target of three to five working days under the present FiLLiP regime.

The LLP (Amendment) Act 2021 reform package

The Limited Liability Partnership (Amendment) Act 2021 introduced a substantial liberalisation package effective from the notified dates in 2022. The amendment decriminalised twelve compoundable offences, transferring adjudication to a designated Adjudicating Officer under the newly inserted Section 76A and Section 76B, mirroring the parallel reforms in the Companies (Amendment) Act 2020. The amendment introduced the concept of a small LLP under Section 2(1)(ta) — defined as an LLP with contribution up to twenty-five lakhs and turnover up to forty lakhs — eligible for reduced compliance and reduced penalty exposure. The amendment also introduced provisions for non-convertible debentures by LLPs subject to RBI parameters, the appointment of special courts under Section 67A, and expanded the Registrar's powers of inquiry. These reforms reflect the Ministry of Corporate Affairs' wider decriminalisation agenda following the Company Law Committee recommendations.

Statutory definition under Section 3 of the LLP Act 2008

A Limited Liability Partnership in India is a body corporate formed and incorporated under the Limited Liability Partnership Act 2008, possessing a legal entity separate from that of its partners under Section 3(1) and perpetual succession under Section 3(2). The form was introduced after recommendations from the Naresh Chandra Committee on Regulation of Private Companies and Partnerships in 2003 and the J.J. Irani Committee on Company Law in 2005, both of which observed that India needed a hybrid vehicle combining the operational flexibility of a partnership with the limited-liability protection of a company. Section 4 of the Act expressly disapplies the Indian Partnership Act 1932 to an LLP, marking the LLP as a distinct juridical category. The LLP form was modelled substantially on the United Kingdom Limited Liability Partnerships Act 2000, though India's version diverges materially on the tax-transparency question — the Indian LLP is a separate taxable entity under Section 2(23)(i) of the Income-tax Act 1961, not a pass-through vehicle.

Every LLP must file Form 8 — the Statement of Account and Solvency — within thirty days from the end of six months from the close of the financial year, that is, by thirtieth October. Form 8 includes a statement of solvency declared by the designated partners, the LLP's statement of accounts comprising a balance sheet and income-and-expenditure statement prepared in accordance with the LLP Rules 2009, and disclosure of related-party transactions and contingent liabilities. LLPs with turnover exceeding forty lakhs or contribution exceeding twenty-five lakhs require statutory audit under Rule 24(8) by a chartered accountant in practice; the audit report and audited statements accompany Form 8. The 2021-amendment small-LLP threshold provides a reduced compliance carve-out.

Income-tax return and tax-audit interaction

An LLP must file its income-tax return under Section 139(1) of the Income-tax Act 1961 in Form ITR-5 by thirty-first July for non-audit cases and by thirty-first October where Section 44AB tax audit applies. Tax audit under Section 44AB is triggered when turnover from business exceeds one crore (or ten crores where digital-receipt and payment thresholds are met under the third proviso) or professional gross receipts exceed fifty lakhs. Tax-audit report in Form 3CA-3CD or 3CB-3CD must be filed by thirtieth September preceding the ITR due date. LLPs cannot avail the presumptive scheme under Section 44AD or 44ADA — these are restricted to individuals, HUFs and partnership firms but not LLPs — making book-keeping and audit obligations more substantive for LLPs than for partnership firms.

Penalty regime under Section 76A for filing delays

The LLP (Amendment) Act 2021 introduced Section 76A and Section 76B, decriminalising several compoundable offences and shifting adjudication to a designated Adjudicating Officer. For default in filing Form 11 or Form 8, Section 76A prescribes graduated penalty: for small LLPs, a reduced penalty schedule applies; for other LLPs, one-hundred rupees per day of continuing default subject to specified caps. The earlier uncapped penalty regime, which had occasionally produced disproportionate accumulations running into several lakhs for years-old defaults, was a primary driver of the 2021 reform. Compounding remains available under Section 39 where the LLP makes voluntary disclosure and pays the prescribed compounding fee; the adjudicating-officer route under Section 76A is alternative.

Taxation of LLPs under the Income-tax Act 1961

LLP as a separate taxable person under Section 2(23)

Under Section 2(23)(i) of the Income-tax Act 1961, an LLP is treated as a firm for income-tax purposes, and its income is taxable in its own hands at the firm rate of thirty percent plus surcharge and cess. This differs materially from the UK and US treatment where an LLP or LLC is often a pass-through vehicle for tax purposes. The Indian LLP regime accordingly results in two-layer taxation only where the partner's share is itself taxable — but Section 10(2A) exempts the partner's share of the LLP's total income from tax in the partner's hands, removing the double-taxation concern at the share level. Partner remuneration and interest on capital are deductible in the LLP's hands subject to Section 40(b) limits and are taxable in the partner's hands as business income under Section 28(v).

Section 40(b) deductibility limits on partner remuneration

Section 40(b) of the Income-tax Act 1961 caps the deductibility of partner remuneration in the LLP's hands: on the first three lakhs of book profit (or in case of loss), one-hundred-and-fifty thousand or ninety percent of book profit, whichever is higher; on the balance, sixty percent. The cap was substantially revised by the Finance (No. 2) Act 2024 effective from assessment year 2025-26, increasing the slab limits to reflect inflation since the prior 2009 calibration. Interest on partner capital is deductible at up to twelve percent simple interest per annum subject to the rate provided in the LLP Agreement. Remuneration to non-working partners is not deductible; the LLP Agreement should clearly identify each partner as working or non-working to substantiate the deduction.

Alternate Minimum Tax under Section 115JC

LLPs are within the scope of Alternate Minimum Tax under Section 115JC of the Income-tax Act 1961 where adjusted total income exceeds twenty lakhs and the LLP has claimed any deduction under Chapter VI-A (other than 80P), Section 10AA or Section 35AD. AMT is levied at eighteen-point-five percent (plus surcharge and cess) on adjusted total income, payable to the extent it exceeds regular income-tax liability. AMT credit under Section 115JD is available for set-off against regular tax in subsequent fifteen assessment years. The interaction between Section 10AA SEZ deduction and AMT is particularly relevant for IT-services LLPs operating from SEZ units; the deduction is effectively partially clawed back through AMT, though the credit mechanism mitigates the long-run impact.

Audit and assurance requirements for LLPs

Audit independence and partner-related-party transactions

The LLP Act 2008 contains no explicit prohibition on a partner's relative being the LLP's auditor, in contrast with Companies Act Section 141 disqualifications. However, the ICAI Code of Ethics and the Chartered Accountants Act 1949 impose independence requirements on the audit engagement, prohibiting audit by a chartered accountant who is a relative of, or has a financial interest in, the LLP under audit. Partner-related-party transactions are not subject to a Section-188-equivalent regime under the LLP Act, but must be disclosed in the financial statements under applicable accounting standards (Accounting Standard 18 or Ind AS 24). Tax-deductibility of related-party expenditure may attract Section 40A(2)(b) scrutiny under the Income-tax Act.

Statutory audit threshold under LLP Rules 2009

Rule 24(8) of the LLP Rules 2009 requires every LLP to have its accounts audited by a chartered accountant in practice, where the LLP's turnover exceeds forty lakhs in any financial year or where the contribution exceeds twenty-five lakhs. The audit must be conducted in accordance with the auditing standards issued by the Institute of Chartered Accountants of India, including SA 200 series. The audit report is filed with Form 8 within the prescribed timeline. Small LLPs falling below both thresholds are exempt from statutory audit but must still maintain books of accounts under Section 34 of the LLP Act on a cash or accrual basis as the LLP Agreement specifies. The small-LLP definition introduced by the 2021 amendment aligns the audit and Section-76A penalty carve-outs.

Tax audit and audit-report harmonisation

Where Section 44AB tax audit applies to the LLP — one-crore business turnover or fifty-lakh professional gross receipts (or the higher digital-thresholds under the third proviso) — the tax-audit report in Form 3CD must be filed by thirtieth September of the assessment year. Where the LLP is also subject to LLP-Rule-24(8) statutory audit, both audits may be conducted by the same chartered accountant for efficiency, with separate report formats — Form 3CA-3CD for the income-tax audit and the LLP statutory-audit report for the LLP Act audit. The chartered accountant must observe independence requirements under the ICAI Code of Ethics and the Companies (Auditor's Report) Order does not apply since CARO is restricted to companies.

MCA Notification of FiLLiP

MCA Notification of FiLLiP refers to the Limited Liability Partnership (Second Amendment) Rules 2018 dated 18 September 2018, which introduced the FiLLiP form and replaced the earlier Form 1 and Form 2. The amendment also integrated DIN allotment for up to two designated partners.

FiLLiP

Form for Incorporation of Limited Liability Partnership — the single integrated MCA form used to incorporate an LLP, reserve the name, and allot DPIN to up to five designated partners in one submission. It replaced the older Form 1 + Form 2 process and is the entry-point form for any new LLP registration in India.

DPIN

Designated Partner Identification Number — a unique 8-digit number allotted by MCA to any individual who is or intends to be a designated partner in an LLP. The DPIN is permanent for the individual across all LLPs and is functionally equivalent to a DIN held by a company director. Each designated partner must have a valid DPIN before signing LLP filings.

LLP Agreement

The written contract between the partners of an LLP and between the LLP and its partners, governing rights, duties, profit sharing, capital contribution, and admission or retirement of partners. It must be executed on stamp paper as per the State Stamp Schedule (Tamil Nadu: Article 40) and filed in Form 3 within 30 days of incorporation under Section 23 of the LLP Act 2008.

Form 3

The MCA form used to file the LLP Agreement and any subsequent changes to it. Must be filed within 30 days of incorporation for the initial agreement, and within 30 days of any amendment thereafter. Delay attracts additional fee of ₹100 per day with no upper cap, making it one of the most expensive filing delays in the LLP regime.

Form 4

The MCA form for notifying any change in the partners or designated partners of an LLP — admission, retirement, or change in designation. Must be filed within 30 days of the change. Form 4 is typically filed together with Form 3 because every partner change requires the LLP Agreement to be amended.

Form 8

Statement of Account and Solvency — the annual financial filing for an LLP, due by 30 October following the financial year end. It contains the LLP's balance sheet, profit and loss account, and a solvency declaration signed by designated partners. Audit is required if turnover exceeds ₹40 lakh or contribution exceeds ₹25 lakh.

Form 11

Annual Return of an LLP — due by 30 May each year for the previous financial year. It lists current partners, contribution, summary of changes during the year, and the LLP's compliance status. Filed irrespective of business activity. Even a dormant LLP must file Form 11 to avoid strike-off.

Designated Partner

A partner specifically named in the LLP Agreement as responsible for statutory compliance, signing returns, and acting as the LLP's representative before regulators. Every LLP must have at least two designated partners, of whom at least one must be a resident of India. Liability for procedural defaults vests in designated partners under Section 7.

Contribution

The capital introduced by partners into the LLP — in cash, property, services, or any other tangible or intangible benefit. Section 32 requires non-cash contributions to be valued by a practising professional. Contribution is the LLP equivalent of share capital and determines profit-sharing ratios unless the LLP Agreement provides otherwise.

Section 23

Section 23 of the LLP Act 2008 governs the LLP Agreement — its execution, filing, amendment, and binding nature. Sub-section (3) prescribes the 30-day window for filing Form 3 after incorporation or after any amendment to the agreement. An LLP Agreement not filed under Section 23 is still binding between partners but cannot be enforced against the LLP or third parties.

Section 32

Section 32 of the LLP Act prescribes the form and manner of contribution by partners. Contributions other than money — such as property, services, or intangibles — must be valued by a practising chartered accountant, cost accountant, or registered valuer. The valuation must be recorded in the LLP Agreement and reflected in the partner's capital account.

Industry-specific patterns in Koyambedu Wholesale Market

How the local trade mix shapes this — Across Koyambedu Wholesale Market, the business activity radiating outward from Koyambedu Market Complex and nearby commercial pockets.

Logistics and Transport
Common issue: Logistics LLPs operating goods-transport-agency services frequently misapply Section 9(3) reverse-charge rules. Where the LLP elects the twelve-percent forward-charge option under Notification 11/2017, the election must be made via Annexure V at the start of the financial year and is binding for the year — many LLPs make a mid-year switch in error.
How we handle it: Decide the forward-versus-reverse-charge election at the start of each financial year and file Annexure V before fifteenth March of the preceding year; reflect the elected mode in the LLP's tax-invoice template and GST returns; maintain a partner-resolution minute documenting the commercial rationale for the election.
Logistics and Transport
Common issue: Fleet-owning logistics LLPs face the Motor Vehicles Act 1988 permits and the State motor-vehicles taxation regime, both of which require the registered owner to be a juridical entity. Some Regional Transport Offices reject LLPs as registered owners on outdated forms, citing only the older partnership-firm category.
How we handle it: Submit the LLP's certificate of incorporation under Section 11 together with the LLP Agreement to evidence juridical-person status under Section 3(1) of the LLP Act; escalate to the State Transport Commissioner where RTO refusal occurs; ensure GSTIN, LLPIN and PAN are consistently quoted across all permit and taxation filings.
Hospitality
Common issue: Hotel and restaurant LLPs often run into FSSAI Section 31 licensing complications when converting from a partnership firm to an LLP under Section 55, since the FSSAI licence is in the partnership-firm name and does not auto-transfer. Operating without a fresh FSSAI registration in the LLP name attracts Section 63 penalties.
How we handle it: Sequence the Section 55 conversion such that FSSAI modification or fresh licence in the LLP's name is obtained within the regulatory window; ensure the LLP Agreement explicitly covers food-service business; maintain parallel GST registration continuity through Section 18 ITC-transfer mechanism with Form ITC-02.
Hospitality
Common issue: Hospitality LLPs accepting foreign tourist payments encounter FEMA reporting requirements that differ from the standard exporter framework. The LLP must report inward remittances through Form FDI-LLP(I) only where the receipt is capital contribution; tourist-service receipts are current-account transactions subject to AD-bank reporting only.
How we handle it: Train the finance team to distinguish capital from current-account FEMA reporting; maintain separate FCRA-equivalent ledger heads for tourist receipts; reconcile FIRC records monthly with the bank; ensure the LLP Agreement's permitted-business clause covers tourist-service rendering to substantiate the current-account characterisation.
Agriculture
Common issue: Agri-processing LLPs operating under the FPO Producer-Company analogy sometimes misread the Companies Act Part IX-A producer-company provisions, which apply only to companies and not to LLPs. The income-tax Section 10(1) agricultural-income exemption is similarly restrictive — only direct cultivation income qualifies, not processing margin.
How we handle it: Where producer-company structuring is genuinely required, opt for Part IX-A registration rather than an LLP; for agri-processing margin, accept that Section 10(1) exemption is unavailable and instead structure for Section 80JJAA additional-employee deduction and Section 35AD specified-business deduction where applicable.

Audit dualWholesale

Tax audit under Section 44AB and LLP Audit under Rule 24(8) — single auditor reconciled

Issue: A wholesale LLP crossed both the Section 44AB tax-audit threshold of ₹1 crore turnover and the Rule 24(8) LLP-audit threshold of ₹40 lakh contribution. The internal team engaged two separate auditors leading to scope overlap, double cost, and conflicting opening-balance positions because of different audit methodologies and timing of completion.
Approach: We replaced both engagements with a single FCA holding peer-review certification, drafted a unified engagement letter covering both tax-audit and LLP-audit scope, mapped the financial statements to the LLP Rules formats and the Income-tax 3CD requirements, ensured the same opening balances flowed into both reports, and obtained Form 3CD and Form 8-attached audit report from the same auditor within the 30 October deadline.
Outcome: Audit fee reduced from ₹85,000 to ₹55,000; single coherent set of accounts; Form 8 and ITR-5 filed on time; ₹30,000 annual cost saving locked into the engagement template.
Partner loanLogistics

Partner-loan to LLP structured to avoid Section 269SS / 269T trigger

Issue: A logistics LLP needed short-term funding and the designated partner proposed a personal loan of ₹15 lakh to the LLP. Section 269SS of the Income-tax Act prohibits cash receipt of loans exceeding ₹20,000 and Section 269T mirrors the prohibition on repayment. The LLP was at risk if any loan tranche was received or repaid in cash.
Approach: We routed the entire ₹15 lakh through banking channels — RTGS for receipt and NEFT for repayment — documented the partner-loan in a written loan agreement on appropriate stamp paper with interest at 12% per annum, recorded the loan in the LLP's books as 'loan from partner' separate from capital contribution, ensured TDS under Section 194A was deducted on interest payments where partner was an individual.
Outcome: Section 269SS / 269T penalty exposure of 100% of loan amount averted; loan serviced on time; LLP working-capital cycle preserved; partner's interest income of ₹1.8 lakh per annum locked in as documented family-cashflow stream.
Contribution in kindLogistics

Capital contribution in kind not valued — Form 3 mismatch

Issue: A logistics LLP showed capital contribution of ₹15 lakh in the incorporation papers but in reality one partner contributed two delivery vans valued informally at ₹8 lakh. Section 32 of the LLP Act requires contribution other than money to be valued by a practising professional. The LLP Agreement uploaded in Form 3 did not carry a valuation certificate, and the audit at the end of year 2 flagged it.
Approach: Engaged a Registered Valuer for the vans as on the date of contribution. Drafted a supplementary LLP Agreement under Section 23(2) recording the in-kind contribution with the valuer's certificate annexed. Filed Form 3 as an amendment with the valuation report. Reconciled the partner capital account in the books to match the valuation. Treated the differential ₹7 lakh as partner loan, properly documented with interest under Section 184.
Outcome: Supplementary agreement filed with additional fee ₹1,200; capital account reconciled; statutory audit qualification removed; partner capital ratio fixed at 53:47 instead of the original disputed 60:40.
ConversionWholesale Trade

Conversion of Pvt Ltd to LLP using Section 47(xiiib) exemption

Issue: A closely-held trading Pvt Ltd with ₹4.2 crore turnover sought conversion to LLP to escape statutory audit and DDT-era retained-earnings tax. Capital gains exposure on the deemed transfer of assets and shares loomed under Section 45 read with Section 47A of the Income-tax Act unless every condition of Section 47(xiiib) was satisfied at conversion and for five subsequent years.
Approach: We tested the six listed conditions — turnover up to ₹60 lakh OR assets up to ₹5 crore, shareholders becoming partners in same ratio, no consideration other than profit share, ₹3 lakh aggregate profit-share cap for ex-shareholders, and the three-year holding lock-in. We filed Form 18 with NOC from all creditors and Form 17 with the LLP Agreement that mirrored shareholder ratios to preserve exemption.
Outcome: Conversion approved in 38 days; capital gains exemption preserved; ₹14.6 lakh estimated tax saving over three years from removal of audit and DDT-equivalent burden.

LLP FAQ — Koyambedu Wholesale Market

Common questions from Koyambedu Wholesale Market clients. Call 9566-068-468 for specific queries.

For a foreign individual partner, the passport, proof of address (driving licence, utility bill or bank statement) and photograph must be notarised and apostilled in the country of origin (for Hague Convention countries) or attested at the Indian Embassy/Consulate (for non-Hague countries). The signed FiLLiP, consent to act as designated partner (Form 9) and subscriber sheet to the LLP Agreement must similarly be apostilled. For a foreign body corporate partner, the certificate of incorporation, board resolution authorising investment and apostilled copy of the charter documents are required.
Section 6 of the LLP Act 2008 requires a minimum of two partners (no upper cap). Section 7 mandates at least two designated partners, both individuals, of whom at least one must be a resident in India — meaning a person who has stayed in India for not less than 120 days during the financial year (post-2022 amendment, earlier 182 days). Body corporate partners must nominate an individual as a designated partner. Failure to maintain the minimum for more than six months attracts unlimited liability on the sole continuing partner under Section 6(2).

Where an LLP is not carrying on business or is not in operation for a period of one year or more, the Registrar may strike its name off the register under Section 75 read with Rule 37 of the LLP Rules 2009 (introduced by the LLP (Amendment) Rules 2017 and the dedicated Form 24). Voluntary strike-off requires Form 24 with — affidavits and indemnity from all designated partners, statement of account showing nil assets and liabilities not older than 30 days, ITR acknowledgement of the latest year, NOC from creditors if any, and consent of all partners. The LLP must have closed its bank account and ceased operations.
An LLP cannot issue securities such as shares or debentures since the concept of share capital does not apply — Section 32 contemplates contribution and not share capital. An LLP may borrow from banks, financial institutions, partners and certain permitted lenders, but acceptance of deposits from the public is not contemplated under the LLP framework and would attract concerns under the Banning of Unregulated Deposit Schemes Act 2019 if structured as a deposit-taking activity.

FiLLiP (Form for Incorporation of Limited Liability Partnership) is the integrated web form notified under Rule 11 of the LLP Rules 2009 (as amended) that replaces the earlier two-step Form 1 (name reservation) and Form 2 (incorporation) process. A single FiLLiP filing on the MCA portal handles name reservation under RUN-LLP, allotment of DPIN to up to five proposed designated partners, incorporation document under Section 11 and PAN/TAN allotment — culminating in the Certificate of Incorporation under Section 12.
Form 4 under Rule 22 is the notice of appointment, cessation, change in name, address or designation of a partner or designated partner. It must be filed within 30 days of the change. Late filing attracts ₹100 per day under Section 69. Form 4 must be accompanied by Form 9 (consent to act as designated partner) for incoming designated partners and digitally signed by a continuing designated partner. Any consequential change in the LLP Agreement (revised profit sharing, capital, drawings) is filed separately in Form 3.

The LLP Agreement is the written contract between the partners (or between the partners and the LLP) that governs mutual rights and duties, executed on stamp paper of the appropriate State. Section 23 read with Schedule I prescribes default provisions where the agreement is silent. A well-drafted LLP Agreement covers — name and registered office, business activities, capital contribution by each partner (Section 32), profit and loss sharing ratio, drawing rights and remuneration, decision-making thresholds, admission and expulsion of partners, dispute resolution, dissolution and Schedule I exclusions where parties wish to vary the default rules.
Remuneration paid to working partners and interest on capital are deductible to the LLP under Section 40(b) of the Income-tax Act, subject to the LLP Agreement specifically authorising such payment and prescribing the manner of computation. Interest is capped at 12% per annum simple. Remuneration is capped at — on first ₹6 lakh of book profit (or in case of loss): ₹3 lakh or 90% of book profit whichever is higher; on balance book profit: 60% (limits enhanced by Finance (No. 2) Act 2024 for AY 2025-26 onwards). Remuneration in the partner's hands is taxable under 'Profits and Gains of Business' under Section 28(v).

Under Section 2(1)(l) of the LLP Act 2008, the financial year of an LLP is the period from 1 April of a year to 31 March of the following year. Unlike companies, an LLP cannot adopt any other accounting year. Where an LLP is incorporated on or after 1 October of a year, the first financial year may extend up to 31 March of the next-but-one year (i.e. up to 18 months) under the proviso, but the LLP must still file Form 11 and Form 8 covering the period.
Stamp duty on the LLP Agreement is levied by the State under the Indian Stamp Act 1899 as adapted by the State, since LLP is a State subject for stamp purposes. In Tamil Nadu the LLP Agreement is stamped under Article 40 (partnership) of Schedule I to the Indian Stamp Act as in force in Tamil Nadu — typically ₹500 where capital contribution does not exceed ₹1 lakh, with incremental duty for higher contribution slabs. In Maharashtra the duty under Article 47 ranges from ₹500 up to ₹15,000 on a sliding scale by contribution. The agreement must be executed and stamped before filing Form 3.
Form 11 is the Annual Return of an LLP prescribed under Section 35 read with Rule 25 of the LLP Rules 2009. It captures details of partners and contribution as on 31 March of the financial year. The due date is 30 May of the immediately following financial year — for FY 2025-26, Form 11 is due by 30 May 2026. Late filing attracts ₹100 per day additional fee under Section 69 with no cap. Form 11 must be certified by a designated partner and, where contribution exceeds ₹50 lakh or turnover exceeds ₹5 crore, by a practising Company Secretary.
Yes. Section 366 of the Companies Act 2013 read with the Companies (Authorised to Register) Rules 2014 permits conversion of an LLP into a company. The LLP must have at least two members (seven for public company), all partners must consent, an advertisement in Form URC-2 must be published, NOC from the Registrar of LLPs must be obtained and Form URC-1 must be filed along with SPICe+ for the new company. The LLP stands dissolved on issue of the certificate of incorporation. Section 47(xiii) of the IT Act may apply for capital gains exemption subject to continuity conditions.
