Quick Answer

What is the Net Asset Value (NAV) method in Ennore, Chennai?

NAV method values equity at the audited book value of net assets attributable to equity shareholders. Under Rule 11UA(1)(c)(b), the formula is (A + B + C + D - L) × PE / PV — where A is book value of assets (excluding certain intangibles and deferred expenses), B/C/D are jewellery/artistic-work/shares-and-securities at FMV, L is liabilities (excluding paid-up capital, reserves and provisions for deferred / contingent liabilities), PE is paid-up equity, PV is paid-up value. NAV is appropriate for asset-heavy companies, holding companies, real estate vehicles and liquidation scenarios.

Section 56(2)(viib) Abolition Tracked

Section 50CA + Rule 11UAA Defended

Where unquoted shares are transferred below FMV, Section 50CA deems FMV as the consideration for capital gains. Rule 11UAA NAV-based FMV computed and the transferor defended. Transferee's parallel Section 56(2)(x) exposure also documented.

FEMA NDI Schedule I Pricing Certificate

Pricing certificate issued under Rule 21 of FEMA NDI Rules 2019 Schedule I for issue or transfer of equity to / from non-residents — at not less than / not more than FMV per internationally accepted methodology, signed by SEBI Merchant Banker or CA.

ICVS 302 Intangible Asset Valuation

Intangibles valued under ICVS 302 — brand by Relief from Royalty (royalty rate × revenue × (1 - tax) discounted), customer list by MPEEM with attrition and contributory asset charges, technology by replacement cost, goodwill as residual under Ind AS 103 PPA.

Cinestaan / Rameshwaram Defence Baked-In

DCF report drafted to survive Section 56(2)(viib) scrutiny — methodology and inputs as on the valuation date, not actuals deviation. Cinestaan Entertainment (Delhi HC 2021) and Rameshwaram Strong Glass (ITAT Jaipur) authorities cited. Reasonableness of projections defended through industry benchmarks.

People Also Ask — Valuation in Ennore
Is angel tax under Section 56(2)(viib) still applicable in FY 2025-26?
No. The Finance (No. 2) Act 2024 omitted the proviso under Section 56(2)(viib) of the Income-tax Act 1961 with effect from 1 April 2025. For consideration received on or after 1 April 2025 by a closely-held company against share issue, angel tax does not apply — to either residents or non-residents. Pre-1 April 2025 issues continue to be governed by Section 56(2)(viib) read with Rule 11UA(2).
Who can sign a business valuation report under the Companies Act?
Only an IBBI Registered Valuer enrolled in the Securities or Financial Assets class is empowered to sign a valuation report under Section 247 of the Companies Act 2013 read with the Companies (Registered Valuers and Valuation) Rules 2017. The valuer must be a member of a Registered Valuer Organisation (RVO), have cleared the IBBI valuation examination and hold a current registration. The Securities class covers shares, debentures, derivatives, business equity, intangibles.
What is the difference between Rule 11UA(1) and Rule 11UA(2)?
Rule 11UA(1) prescribes FMV computation for property received under Section 56(2)(x) — for unquoted equity, a NAV-based formula. Rule 11UA(2) prescribes FMV for shares issued at a premium covered by Section 56(2)(viib) — five methods including DCF, NAV, Comparable Companies, PWERM and OPM. Rule 11UA(1) applies to the recipient transferee; Rule 11UA(2) applied to the issuer of fresh equity (until 31 March 2025).
How is the discount rate (WACC) built for an Indian unlisted company?
WACC = (E/V × Ke) + (D/V × Kd × (1 - T)). Ke via CAPM = Rf + β × MRP — with Rf = 10-year G-Sec ~7%, β = industry levered beta from listed peers re-levered to target D/E using the Hamada formula, MRP = 6-8% for India per Damodaran country-risk database. Kd = pre-tax interest cost × (1 - effective tax rate, typically 25.17% under Section 115BAA). For unlisted companies, a small-firm premium of 2-4% is added.
Is a fairness opinion the same as a valuation report?
No. A valuation report (issued by a Registered Valuer under Section 247) determines the value or range of value of the security or asset. A fairness opinion (typically issued by a SEBI-registered Merchant Banker for listed-company schemes per SEBI Master Circular on Schemes 2023) opines on whether the share-exchange ratio or transaction price is fair from a financial point of view to a particular class of stakeholders. Both are required for listed-company schemes of arrangement under Sections 230-232.
Why is DLOM applied to unlisted shares and how much?
Discount for Lack of Marketability reflects the inability to readily convert unlisted equity into cash. Restricted-stock studies (Stout, Mergerstat) and pre-IPO studies place DLOM in the 20-30% band for closely-held Indian companies. Quantitative support is built via Longstaff put-option, Finnerty or Stillian-Bajaj models with inputs of expected holding period and volatility. Combined with minority discount, total reduction can reach 30-45% for a small minority stake in an unlisted company.
What is AAR Section 245N for pre-transaction valuation certainty?

AAR (Authority for Advance Rulings) under Section 245N provides binding ruling on proposed transactions for non-residents and qualifying residents. Used for cross-border valuation certainty, Rule 11UA methodology approval, and Section 56(2)(viib) interface clarity before transaction execution.

How is brand and goodwill valued in intra-group transfer?

Independent valuation expert applies relief-from-royalty and excess-earnings methods for brand/goodwill FMV. Rule 11UAE incorporates intangible-asset allocation in slump-sale and demerger contexts. Hindustan Lever Employees Union SC framework provides judicial deference to expert intangible-valuation.

What is Section 92CA transfer pricing officer reference?

AO refers international transactions and specified domestic transactions exceeding Rs 15 crore threshold to TPO under Section 92CA(1). TPO determines arm's-length pricing under Section 92CA(3). Statutory time-limit applies; Maruti Suzuki India ITO DEL HC defends valuation defence.

How is Section 92CB MAP invoked for cross-border valuation dispute?

Section 92CB enables Mutual Agreement Procedure under DTAA Article 25 for resolving transfer-pricing and valuation-related double-taxation disputes. File application before Indian competent-authority. Bilateral negotiation with treaty-partner competent-authority achieves settlement; Cairn UK Holdings BIT framework offers fallback.

What is Section 144C Dispute Resolution Panel for valuation cases?

Section 144C provides DRP route for eligible-assessees (foreign companies and TP-impact cases). On Draft Assessment Order receipt, file objections within 30 days. DRP issues directions binding on AO. Used extensively for cross-border share-valuation Rule 11UA(2) adjustments.

How is FEMA valuation reconciled with Income Tax Rule 11UA?

FEMA Pricing Guidelines require Category-I AD bank certification at arm's-length for cross-border share-transactions. Income Tax Rule 11UA prescribes FMV-methodology. Reconciliation through merchant-banker DCF aligning with FEMA-compliant valuation. Both regimes apply parallelly with potential gap creating exposure.

What is business valuation and its statutory architecture

The methodological taxonomy in IVS 200 series

The International Valuation Standards 200 series on businesses and business interests, published by the IVS Council and adopted in modified form by IBBI through Valuation Standard 102, organises business-valuation methodologies into three approaches — the income approach (discounted cash flow, capitalisation of earnings), the market approach (guideline public-company method, comparable transaction method) and the cost approach (net asset value, adjusted book value). The standards do not prescribe a single methodology but require the valuer to select methodologies appropriate to the engagement, document the selection rationale, and triangulate the outputs. CFA Institute Equity Asset Valuation chapter on private company valuation provides a parallel framework with substantially overlapping methodology lists. Aswath Damodaran's framework on private company and start-up valuation extends the cost-of-capital build-up to incorporate size premia and specific-company-risk adjustments. The Ennore valuation engagement should select methodologies grounded in the IVS taxonomy with explicit reference to the applicable standard.

Policy rationale for the angel-tax framework

Section 56(2)(viib) was introduced by the Finance Act 2012 as part of the anti-abuse framework targeting closely-held companies receiving share premium materially above the underlying business fair value from resident investors. The legislative concern, as articulated in the Memorandum to Finance Bill 2012, was the conversion of unaccounted income into apparent share-premium receipts through circular routing. The Finance Act 2023 extended the provision to receipts from non-residents, addressing the carve-out exploited through overseas-routed funding. The provision operates as a deeming charge — to the extent the consideration exceeds the fair market value, the differential is taxed under the residuary head Income from Other Sources. The policy framework is best understood as a valuation-anchored anti-evasion construct rather than a pure income tax, and the Ennore closely-held company raising funding must approach the Section 56(2)(viib) compliance through valuation rigour rather than rate optimisation.

The regulatory matrix governing valuation in India

Business valuation in the Indian context operates at the intersection of multiple statutory and regulatory frameworks, no single one of which is exhaustive. The Income-tax Act 1961 contemplates fair market value at several junctures — Section 56(2)(viib) on receipt of share premium by a closely-held company, Section 56(2)(x) on receipt of property by any person without or for inadequate consideration, Section 50CA on transfer of unlisted shares below fair market value, Section 50B read with Rule 11UAE on slump sales, and Section 92 read with Rules 10A to 10T on international and specified domestic transactions. The Companies Act 2013 through Section 247 read with the Companies (Registered Valuers and Valuation) Rules 2017 imposes a registered-valuer requirement on valuations under that Act, with the Insolvency and Bankruptcy Board of India operating as the registering authority and issuing the Valuation Standards 101 through 103. Ind AS 113 transposes IFRS 13 Fair Value Measurement into the Indian accounting framework. The Ennore taxpayer or company engaging with valuation must first identify which framework governs the exercise before any methodology selection.

Section 56(2)(viib) angel tax framework

Exclusions and exemptions under the framework

The Section 56(2)(viib) framework is subject to several exclusions and exemptions. The DPIIT-registered start-up framework under Notification G.S.R. 127(E) dated 19 February 2019 read with subsequent amendments provides a procedural exemption to recognised start-ups satisfying specified conditions on paid-up capital, share-premium aggregate and asset composition. Issuance to venture capital funds, venture capital companies and specified categories of investors is excluded by Notification framework. Issuance pursuant to schemes of arrangement under Sections 230 to 232 of the Companies Act, subject to NCLT sanction, is treated as outside the Section 56(2)(viib) ambit. Bonus issuances and rights issuances are outside the premium framework. The Ennore closely-held company must map its funding plan against the exclusion list before designing the issuance structure, since several issuance categories permit premium without Section 56(2)(viib) exposure.

Burden of proof and assessment dynamics

The burden of establishing fair market value at or below the issue price rests with the issuer company in any Section 56(2)(viib) assessment. The Assessing Officer at scrutiny under Section 143(3) examines the Rule 11UA report, the underlying working papers, the projection realism against trailing operating performance, and the methodology selection rationale. Where the report fails to satisfy the officer, substitution of a downward-adjusted fair market value is the standard outcome, with the resulting differential charged under Section 56(2)(viib). The Income Tax Appellate Tribunal in several rulings has emphasised that the burden of dislodging the merchant-banker DCF report rests with the Department once the report is filed, but the report must itself satisfy methodological rigour. The Ennore company should approach the report-preparation phase with assessment-defence in mind rather than treat it as a procedural formality.

Cross-application with Section 56(2)(x) recipient-side

Section 56(2)(viib) operates on the issuer side, charging the issuer company on premium received above fair market value. Section 56(2)(x), introduced by the Finance Act 2017 replacing the earlier Section 56(2)(vii) and 56(2)(viia) framework, operates on the recipient side, charging any person receiving property without consideration or for inadequate consideration on the differential between fair market value and actual consideration. The two provisions can apply to the same transaction from opposite sides — the recipient of shares at a discount triggers Section 56(2)(x), and where the issuer is a closely-held company the share-premium accounting may simultaneously trigger Section 56(2)(viib). The Ennore company structuring share issuances or transfers must run both computations to identify exposures on both sides of the transaction.

Discounted cash flow methodology under Rule 11UA(2)

Free cash flow construction and the firm-level framework

The discounted cash flow methodology under Rule 11UA(2) is conventionally executed at the firm level (free cash flow to firm) rather than the equity level (free cash flow to equity), with enterprise value computed first and equity value derived through net-debt subtraction. The Damodaran framework on private-company valuation prefers the firm-level approach for stability reasons — capital-structure changes affect equity cash flow more dramatically than firm cash flow. Free cash flow to firm is computed as earnings before interest and tax multiplied by one minus the effective tax rate, plus depreciation and amortisation, minus changes in working capital, minus capital expenditure. The CFA Institute Equity Asset Valuation framework on free cash flow provides standardised computation templates. The Ennore valuer constructing the cash flow waterfall should document each line-item computation and reconcile against the audited financial statements to support the working paper trail.

Explicit period and terminal value bifurcation

The discounted cash flow methodology bifurcates the projection horizon into an explicit period (typically five to ten years) and a terminal-value tail. The explicit period captures growth-stage dynamics with line-by-line projection, whereas the terminal value captures the stable-growth perpetuity computed through the Gordon growth model or an exit-multiple approach. The CFA Institute framework on private-company valuation notes that terminal value typically contributes sixty to eighty percent of enterprise value in growth-stage businesses, and methodology discipline at the terminal stage is critical. The IBBI Valuation Standard 102 requires explicit documentation of terminal-value methodology selection. The Ennore valuer should cap the perpetual growth rate at the long-term risk-free yield prevailing on the valuation date, with the working paper documenting the cap selection rationale.

Discount rate build-up and the cost of capital

The discount rate in firm-level discounted cash flow is the weighted average cost of capital, computed as the weighted average of cost of equity (per the capital asset pricing model build-up — risk-free rate plus equity risk premium times beta) and cost of debt (post-tax). For private companies, the Damodaran framework adds a size premium (per Ibbotson size-decile data) and a specific-company-risk premium reflecting key-person dependence, customer concentration and other firm-specific factors. The CFA Institute private-company chapter prescribes a build-up approach that aggregates these adjustments. The IBBI Valuation Standard 102 requires explicit documentation of each component. The Ennore valuer should ground the risk-free rate in the ten-year government security yield on the valuation date, the equity risk premium in the most recent Damodaran or PWC India market-risk-premium study, and the beta in industry-comparable data from CMIE or Bloomberg.

Comparable companies methodology

Comparable selection and the homogeneity discipline

Comparable selection is the methodological heart of the market approach. The IVS 105 and IBBI Valuation Standard 102 require comparables to be drawn from the same industry, broadly similar in size, operational profile, geographic exposure and capital structure. The CFA Institute Equity Asset Valuation chapter on private-company valuation prescribes a minimum of four to six comparables for meaningful range. The Damodaran framework on relative valuation observes that loose comparable selection produces multiples ranges so wide as to be meaningless, defeating the methodology's defence value. The Ennore valuer should document the comparable-screening process with explicit filters and the rationale for inclusion or exclusion of each candidate, ensuring the final comparable set is defensibly homogeneous with the subject company.

Market approach under IVS 105 framework

The market approach under IVS 105 (and the parallel IBBI Valuation Standard 102) values a business by reference to comparable transactions or comparable publicly-traded companies, applying market-derived multiples to the subject company's financial metrics. The two principal variants are the guideline public-company method (multiples derived from listed comparables) and the guideline transaction method (multiples derived from comparable acquisitions). The CFA Institute Equity Asset Valuation chapter on market-based methods prescribes adjustments — control premium, liquidity discount, size adjustment — to convert publicly-traded multiples to private-company applicable multiples. The Notification 81/2023 inclusion of comparable companies in the methodology choice for non-resident issuances under Rule 11UA(2) brings the market approach within the angel-tax defence framework. The Ennore valuer applying the market approach should document comparable selection criteria with industry-classification, size-band and operational-profile filters.

Multiple selection and the EBITDA-revenue-PAT taxonomy

Common multiples in the comparable-companies framework include enterprise-value-to-revenue, enterprise-value-to-EBITDA, enterprise-value-to-EBIT, price-to-earnings and price-to-book. The CFA Institute Equity Asset Valuation framework on private-company valuation provides guidance on multiple selection — revenue multiples for early-stage or pre-profitability businesses, EBITDA multiples for capital-intensive businesses, PAT multiples for stable mature businesses, book multiples for asset-heavy businesses. The IBBI Valuation Standard 102 requires the valuer to document multiple selection rationale grounded in the comparable companies' financial profile. The Ennore valuer should select multiples appropriate to the subject company's stage and apply at least two multiples for triangulation, with the resulting range informing the point estimate.

Glossary

Plain-English glossary for this service

Terms you will hear in this area — Across Ennore, where port services businesses dominate the local compliance profile.

FCFF

Free Cash Flow to Firm — cash flow available to all capital providers (equity and debt) before financing costs. Computed as EBIT(1-tax) + Depreciation - Capex - change in working capital. Discounted at WACC to arrive at enterprise value.

FCFE

Free Cash Flow to Equity — cash flow available to equity shareholders after meeting debt obligations. Computed as Net Income + Depreciation - Capex - change in working capital + net borrowings. Discounted at cost of equity to arrive directly at equity value.

WACC

Weighted Average Cost of Capital — blended cost of equity and after-tax cost of debt weighted by their respective market-value proportions in the capital structure. Indian listed-company WACC typically ranges 11%-14%; unlisted-startup WACC 18%-25%.

CAPM

Capital Asset Pricing Model — formula to compute cost of equity as Risk-Free Rate + Beta × Equity Risk Premium. Standard model under Rule 11UA(2) DCF reports and Section 247 Registered Valuer reports.

Beta

Beta — measure of a stock's volatility relative to the market. Levered beta captures both business and financial risk; unlevered beta isolates business risk by stripping out leverage. Hamada equation is used to relever beta to the target company's capital structure.

Risk-Free Rate

Risk-Free Rate — yield on a default-free instrument used as the base in CAPM. In India the 10-year G-Sec yield is the conventional proxy, typically 6.8%-7.4% as on recent valuation dates.

Equity Risk Premium

Equity Risk Premium — expected excess return of equity over the risk-free rate. For India the ERP used in CAPM ranges between 6% and 8% based on Damodaran's country-risk-adjusted estimates, with 7% being the working median.

Terminal Value

Terminal Value — value of cash flows beyond the explicit forecast period, computed using the Gordon Growth Model as FCF_(n+1) / (WACC - g) where g is the long-term sustainable growth rate, typically 4%-6% for India aligned with long-term nominal GDP growth.

EV/EBITDA

Enterprise Value to EBITDA multiple — relative-valuation multiple commonly applied in Comparable Companies Analysis. Indian listed mid-cap median trades at 10x-14x; high-growth sectors like SaaS at 20x-30x.

EV/Sales

Enterprise Value to Sales multiple — used where EBITDA is negative or volatile, typical in early-stage businesses and SaaS. Indian SaaS comparables trade at 4x-8x forward revenue.

P/E ratio

Price-to-Earnings ratio — equity-value multiple computed as market price per share divided by earnings per share. Nifty 50 median P/E hovers around 22x-25x; sector spreads vary widely.

P/B ratio

Price-to-Book ratio — equity-value multiple computed as market price per share divided by book value per share. Useful for banks and capital-intensive sectors where book value is meaningful.

Logistics
Common issue: Logistics and supply-chain entities operating asset-heavy fleet models often rely on the Rule 11UA(1)(c)(b) net asset method without considering the depreciation differential between Companies Act Schedule II rates and Income-tax Act Section 32 block-of-asset rates. The dual-depreciation regime creates timing differences in deferred tax assets and liabilities under Ind AS 12, and the failure to adjust net asset value for the deferred-tax position produces understated fair values that fail IFRS 13 fair-value-measurement requirements.
How we handle it: Recompute net asset value with full deferred tax recognition under Ind AS 12 paragraph 24 measurement framework; reconcile the Companies Act Schedule II depreciation against the Income-tax Act Section 32 block-of-asset depreciation for each asset category; document the timing-difference computation in the Rule 11UA working paper; engage a registered valuer with Ind AS expertise to ensure the resulting NAV satisfies IFRS 13 convergence principles.
Logistics
Common issue: Logistics groups with cross-border operations and overseas subsidiary investments face additional complexity in valuation arising from Rule 11UA's domestic-currency framework not accommodating foreign-currency translation differences. The translation reserves under Ind AS 21 paragraph 39 require recycling on disposal of the foreign operation, and the failure to incorporate the prospective recycling amount into net asset value produces valuations that diverge from economic substance.
How we handle it: Translate the foreign subsidiary financial statements at closing exchange rates per Ind AS 21 paragraph 39 for the valuation balance sheet; recognise the cumulative translation reserve in equity at the parent level; adjust the Rule 11UA(1)(c)(b) NAV for the translation reserve component; document the translation methodology and the underlying exchange-rate basis in compliance with IBBI Valuation Standard 102 paragraph on currency considerations.
Small Trade
Common issue: Small trading entities operating below the Ind AS applicability threshold and reporting under IGAAP face challenges in transitioning to Ind AS 113 fair value measurement when raising private equity funding. The IGAAP balance sheet under AS 10 and AS 28 carries assets at historical cost adjusted for impairment, whereas Ind AS 113 demands a market-participant-based fair-value-hierarchy computation, and the absence of a parallel Ind AS computation produces Rule 11UA outputs that the Assessing Officer substitutes downward.
How we handle it: Prepare a parallel Ind AS 113 fair-value computation alongside the IGAAP financial statements for the valuation date; reconcile the IGAAP-to-Ind-AS-113 transition differences asset-by-asset; document the fair-value-hierarchy classification (Level 1 quoted, Level 2 observable, Level 3 unobservable) per Ind AS 113 paragraph 73; engage an IBBI-registered valuer with both IGAAP and Ind AS competence to ensure dual-framework consistency.
IT Services
Common issue: IT services firms raising Series A or later funding rounds frequently rely on a single discounted cash flow valuation under Rule 11UA(2) to support the premium charged to resident and non-resident investors under Section 56(2)(viib) of the Income-tax Act. Following the Finance Act 2023 amendment extending Section 56(2)(viib) to non-residents, the absence of a cross-check against the comparable companies method or net asset value benchmark exposes the residual premium to angel-tax characterisation, with the differential between issue price and fair market value taxed under the residuary head.
How we handle it: Adopt a triangulated valuation under Rule 11UA(1)(c)(c) reading the discounted cash flow output against Rule 11UA(1)(c)(b) net asset value and an external comparable-multiple analysis grounded in CFA Institute Equity Asset Valuation methodology; engage a registered valuer under Section 247 of the Companies Act 2013 read with the Registered Valuers Rules 2017 for non-DCF anchors; document the IBBI Valuation Standards 102 compliance trail to evidence methodology selection at the assessment stage.
IT Services
Common issue: SaaS and platform companies operating under high-growth assumptions in the Damodaran high-growth-stable-growth two-stage construct often embed perpetual growth rates above the long-term risk-free yield, producing terminal-value contributions exceeding eighty percent of enterprise value. The IBBI Valuation Standard 102 on valuation approaches treats unrealistically high terminal-value concentration as a methodology flag, and the Income-tax Department at scrutiny under Section 143(3) routinely scales the discounted cash flow value down where the working paper does not justify the terminal assumptions.
How we handle it: Cap the perpetual growth rate at the ten-year government security yield prevailing on the valuation date as a methodology discipline; perform sensitivity analysis on the discount rate and growth assumptions per Ind AS 113 paragraph 91 fair-value-measurement disclosure framework; reconcile the terminal value contribution against industry comparable-multiple ranges before finalising the Rule 11UA(2) report.

Goodwill valuation post-merger under Ind AS 103

Issue: Acquirer paid ₹84 crore for a logistics target with a book NAV of ₹22 crore. Purchase-price allocation under Ind AS 103 was needed to split the ₹62 crore excess between identifiable intangibles (customer contracts, brand, non-compete) and residual goodwill, with consequent amortisation impact.
Approach: Applied multi-period excess-earnings method for customer contracts (₹19 crore, 7-year useful life), relief-from-royalty for brand (₹8 crore, 10-year life), with-and-without method for non-compete (₹4 crore, 3-year life), residual goodwill ₹31 crore with annual impairment test. Filed Form CHG-1 and Ind AS-compliant disclosures in notes to accounts.
Outcome: PPA accepted by auditor; deferred-tax liability of ₹7.8 crore recognised on intangibles; annual amortisation of ₹4.9 crore reduced taxable profits over the next 7 years.
demerger_valuationdiversified_group

Tax-neutral demerger valuation under Section 2(19AA) defended

Issue: Demerger of non-core undertaking transferred net assets of Rs 36 crore valued by merchant banker. AO denied Section 2(19AA) tax-neutrality alleging valuation didn't satisfy book-value condition under Section 2(19AA)(iii), raising capital gains addition of Rs 9.2 crore on resulting company.
Approach: Filed reconciliation between merchant-banker FMV and Section 2(19AA)(iii) book-value condition demonstrating both criteria met simultaneously. Cited Hindustan Lever Employees Union SC on NCLT-sanctioned scheme valuation. Produced NCLT order, valuation report, and Section 247 Registered Valuer compliance. Engaged at Section 144C DRP.
Outcome: Section 2(19AA) tax-neutrality confirmed; Rs 9.2 crore capital gains addition deleted; demerger upheld.
nri_investor_exemptiontech_startup

Section 56(2)(viib) exemption defended for non-resident investor route

Issue: DPIIT-recognised startup raised Rs 24 crore from non-resident investor at premium. Pre-Finance Act 2023, non-resident route was exempt from Section 56(2)(viib); post-amendment AO invoked the section computing deemed-income of Rs 5.6 crore for the transitional year.
Approach: Built transition-period defence demonstrating share-allotment crystallised before amendment effective date. Filed Form 2 DPIIT exemption declaration as backup. Cited CIT v Vegetable Products SC on benefit-of-doubt for transitional provisions. Maintained Rule 11UA Method B DCF for substantive defence. Filed CIT(A) Section 246A.
Outcome: Pre-amendment grandfathering accepted; Section 56(2)(viib) addition of Rs 5.6 crore deleted; precedent for similar transitional cases.
deemed_accrualoffshore_seller

Section 9(1) deemed-accrual valuation challenge for offshore share transfer

Issue: Foreign holding company transferred shares of overseas entity deriving 78 percent value from Indian assets. AO under Section 9(1)(i) Explanation 5 deemed transfer as Indian-source income with FMV-based capital gains of Rs 32 crore.
Approach: Cited Vodafone International Holdings SC and post-amendment indirect-transfer jurisprudence. Disputed Indian-asset-value percentage threshold computation under Rule 11UB. Engaged Section 144C DRP with independent valuer report on Indian-versus-global asset apportionment. Filed parallel AAR Section 245N application.
Outcome: Rule 11UB threshold-percentage revised downward to 42 percent — below 50 percent trigger; Section 9(1) deemed-accrual not invoked; Rs 32 crore demand deleted.

Valuation FAQ — Ennore

Common questions from Ennore clients. Call 9566-068-468 for specific queries.

Rule 21 of the Foreign Exchange Management (Non-debt Instruments) Rules 2019 read with Schedule I prescribes pricing — for issue or transfer of shares of an Indian company to a non-resident, the price must not be less than the FMV per any internationally accepted pricing methodology (DCF / NAV / comparable companies); for transfer from non-resident to resident, the price must not exceed FMV. The valuation must be certified by a SEBI-registered Merchant Banker or a Chartered Accountant / Cost Accountant. For listed shares, SEBI ICDR / SAST pricing applies.

Section 50CA of the Income-tax Act 1961 deems the FMV of unquoted shares as the consideration for capital gains where the actual transfer price is lower than FMV. Rule 11UAA prescribes the FMV computation — for unquoted equity shares, NAV method as on the valuation date; for unquoted shares other than equity, the price they would fetch in the open market with a Merchant Banker / Chartered Accountant report. Section 50CA covers the transferor; Section 56(2)(x) covers the transferee where shares are received below FMV by more than ₹50,000.
Section 56(2)(x) taxes the recipient where any property — including unquoted shares — is received without consideration or for inadequate consideration, and the FMV / shortfall exceeds ₹50,000. For unquoted shares the FMV is computed under Rule 11UA(1)(c)(b) — a NAV-based formula. Gifts from defined relatives, on marriage, by will, or from a registered trust under Section 12A/12AA/12AB are exempt. A documented Registered Valuer report is the standard defence for any inter-se share transfer at less than book value.

Per Rule 8 of the IBBI Registered Valuers Rules 2017, the valuation report must contain: background information; purpose, intended user and date; identity of the valuer and ROV registration; sources of information; procedures adopted, valuation premise (going concern / liquidation), valuation bases (fair / market / liquidation value), approach (Income / Market / Cost) and method (DCF / NAV / CCM); major factors and assumptions; conclusion of value; caveats, limitations and disclaimers. The report is signed and bears the IBBI Registered Valuer registration number.
Cost of equity Ke under CAPM = Rf + β × MRP. Indian inputs as of FY 2025-26: Rf = 10-year G-Sec yield approximately 7%; β = industry levered beta (re-levered to target D/E using Hamada); MRP for India = 6 - 8% (mature-market premium ~5% plus India CRP ~1.5 - 3% per Damodaran). For private companies, additional small-firm premium of 2-4% and company-specific risk premium of 1-3% are commonly added to arrive at the build-up cost of equity for unlisted entities.

Yes. The Finance (No. 2) Act 2024 omitted the proviso under Section 56(2)(viib) of the Income-tax Act 1961 with effect from 1 April 2025 — i.e. the angel-tax provision does NOT apply to consideration received for shares issued by a closely-held company on or after 1 April 2025 (FY 2025-26 and onwards). For consideration received up to 31 March 2025, Section 56(2)(viib) read with Rule 11UA(2) continued to apply, including to non-residents from 1 April 2024 (FY 2024-25) under the Finance Act 2023 expansion. A valuation report is still advisable for governance, share-allotment defence, and transfer-pricing reasons.
Intrinsic value (FMV - exercise price) is the simplest method, permitted under Section 17(2)(vi) for perquisite computation. For accounting under Ind AS 102 Share-based Payment, fair value via an option pricing model is required — Black-Scholes (closed-form European option) or Binomial / lattice (handles American features, vesting tranches, performance conditions, early exercise). Binomial is preferred where exercise is staggered or where the option has performance hurdles. Inputs: spot, strike, expected life, volatility (peer-derived for unlisted), risk-free rate, dividend yield.
Our Maduravoyal office on Alapakkam Main Road (opposite KVB Bank) is well connected — from Ennore, the Ennore Bus Stop is a handy reference point on the way. That said, Valuation rarely needs a visit; most of it is done online.
Section 17(2)(vi) treats the difference between FMV on the date of exercise and exercise price as a perquisite. The employer is required to deduct TDS under Section 192 on this perquisite. Rule 3(8) prescribes FMV — for listed shares, average of opening and closing price on a recognised stock exchange on the exercise date; for unlisted shares, the value determined by a Merchant Banker on the specified date (date of exercise or any earlier date not more than 180 days). Eligible startups under Section 80-IAC enjoy deferred ESOP perquisite taxation under Section 192(1C).
The SEBI (Substantial Acquisition of Shares and Takeovers) Regulations 2011 — Regulation 8 — prescribe the open offer price as the highest of (i) negotiated price under the SPA; (ii) volume-weighted average price paid by the acquirer in the 52 weeks preceding the PA; (iii) highest price paid in the 26 weeks preceding the PA; (iv) volume-weighted average market price for 60 trading days. For infrequently traded shares, parameters from Regulation 8(2)(e) including book value, comparable company multiples and DCF are considered, supported by a Merchant Banker / Registered Valuer report.
A scheme of arrangement (merger, demerger, capital reduction) under Sections 230-232 of the Companies Act 2013 requires a share-exchange ratio supported by a Registered Valuer report and a fairness opinion from a SEBI-registered Merchant Banker (where the company is listed). The NCLT examines whether the scheme is fair to all classes. Listed-company schemes additionally follow SEBI Master Circular on Schemes (latest June 2023) — relative valuation by two methods (typically NAV + DCF + market price for listed) with a fairness opinion.
WACC = (E/V × Ke) + (D/V × Kd × (1 - T)). Cost of equity Ke is built via CAPM: Ke = Rf + β × MRP, where Rf is the 10-year G-Sec yield (~7% currently), β is the levered beta benchmarked from listed Indian peers and re-levered to the target capital structure (Hamada formula), and MRP (equity risk premium for India) is typically taken at 6 - 8% per Damodaran's country-risk database. Kd is the post-tax cost of debt — pre-tax borrowing cost × (1 - 25.17% / 22% / 17.16% effective tax rate per Section 115BAA / 115BAB applicable).
