Quick Answer

How is an LLP different from a private limited company and a partnership firm in Ennore, Chennai?

An LLP is governed by the LLP Act 2008 whereas a company is governed by the Companies Act 2013 and a firm by the Indian Partnership Act 1932. An LLP has perpetual succession (a firm does not), partners are not agents of one another under Section 36 (firm partners are mutual agents under Section 18 of the 1932 Act), there is no minimum capital requirement, no DDT or buy-back tax, profit share is exempt for partners under Section 10(2A) of the IT Act and audit is required only above ₹40 lakh turnover or ₹25 lakh contribution under Rule 24 of the LLP Rules 2009 — making it lighter than a company while preserving limited liability.

Why FilingPro?

Why Ennore Clients Choose FilingPro

Expert LLP in Ennore — qualified professionals, 15+ years experience, zero-penalty track record.

Section 47(xiiib) Conversion Path Preserved

Where a Ennore private company is contemplating conversion into LLP, we structure the LLP turnover, asset and shareholder profile to remain within the Section 47(xiiib) IT Act conditions — protecting the capital gains exemption window.

Section 40(b) Remuneration Structured

The LLP Agreement is drafted with explicit Section 40(b) IT Act language — working partner remuneration formula, 12% interest on capital ceiling and book-profit linked computation — so deduction is preserved at LLP level and Section 28(v) taxation is clean at partner level.

Tax-Book-Grade Documentation

Every Ennore LLP file we maintain holds the FiLLiP, DPIN evidence, stamped LLP Agreement, Form 3 challan, Form 16 (Certificate of Incorporation), PAN/TAN, GST and MSME certificates, statutory registers and signed Form 9 consents — ready for any audit, FEMA review or NCLT proceeding.

LLP Practice Since The 2009 Notification

Our LLP filings stretch back to the early years following the 2009 notification of the LLP Act 2008. Familiarity with the FiLLiP form's evolution, Central Registration Centre review patterns, and Form 3 stamping practice across States gives our incorporation pack the precision that a newer practice cannot offer.

Form 3 Within Statutory Thirty Days

Form 3 is the LLP filing most often missed because partners assume incorporation closes the engagement. We treat Form 3 as part of the same engagement, calendar the thirty-day window from the certificate date, and file with stamped agreement before expiry — eliminating the uncapped Section 69 hundred-rupees-per-day default fee.

Tamil Nadu Stamp Schedule Applied Correctly

Duty payable on the agreement follows Article 40 of the State schedule, with the chargeable amount rising as the contribution moves up the slab. Computation runs against the agreed contribution figure, payment goes through the prescribed channel, and the challan is annexed to the agreement — admissibility under the Stamp Act stands beyond challenge.

Key Benefits

What Ennore Clients Get

Every LLP Registration engagement delivers measurable, guaranteed outcomes — expert professionals, on time, every time.

Section 28 Liability Shield Preserves Personal Wealth
The fundamental commercial reason to operate as an LLP rather than a partnership firm is the Section 28 contractual cap on partner liability. Personal residences, vehicles and savings stay outside the LLP's creditor universe. Section 31 fraud-trigger remains the only exception, which the agreement and operating practices we set up are designed to keep dormant.
No Mutual Agency Among Partners
In a traditional partnership under Section 18 of the 1932 Act, every partner is the agent of every other. Under Section 26 of the LLP Act, partners are agents of the LLP only. A counterparty cannot pursue partner B for a contract signed by partner A in personal dealings, which materially reduces the risk profile of bringing in new partners.
Form 11 And Form 8 As Total Annual Filings
An LLP's annual MCA obligations boil down to two filings — the partner roster in Form 11 ahead of end-May, and the solvency-and-accounts statement in Form 8 ahead of end-October. There is no MGT-7, no AOC-4, no DIR-3 KYC, no DPT-3 burden. The compliance saving compounds year on year, especially for service-led businesses that do not require corporate structures for fundraising or equity-based compensation.
Audit Triggered Only Above Defined Thresholds
Rule 24(8) confines the audit requirement to LLPs that breach either a contribution ceiling of twenty-five lakh or revenue exceeding forty lakh in the year. Modest-revenue and early-stage LLPs run without statutory audit cost — typically a saving north of fifty thousand rupees annually when set against an equivalent corporate structure.
Profit Distribution Without Dividend Tax
After the LLP has paid its tax, the share allocated to each partner falls within the Section 10(2A) exemption — partner-level tax is nil on that receipt. DDT does not apply, buy-back tax does not arise, and no shareholder-level levy attaches to the distribution. For closely held ventures this single-layer treatment materially uplifts owner take-home relative to the corporate alternative.
Capital Contribution In Cash Or Kind
The LLP Act expressly allows capital contribution in cash, tangible property, intangible property, services rendered or to be rendered, or any benefit received. There is no statutory minimum capital. Contribution structures can therefore be tailored to the partners' actual resources and the business's actual needs rather than meeting an artificial floor.

How long does LLP registration take in Chennai?
Clean FiLLiP filings are typically approved within 7 to 15 working days — name reservation under RUN-LLP in 1 to 3 working days, FiLLiP scrutiny by the Central Registration Centre within 5 to 10 working days. The Certificate of Incorporation under Section 12 issues in Form 16 along with PAN and TAN. Form 3 (LLP Agreement) is then filed within 30 days of incorporation.
What is the minimum cost of LLP registration in Tamil Nadu?
Statutory cost depends on contribution — MCA fee on FiLLiP starts at ₹500 (contribution up to ₹1 lakh), Tamil Nadu stamp duty on the LLP Agreement starts at ₹500 under Article 40, and DSC class-3 for two designated partners is around ₹2,000-₹3,000. Add professional fees for FiLLiP drafting, custom LLP Agreement and Form 3 filing — FilingPro packages start at ₹6,500 inclusive of two DPINs.
Can a single person form an LLP?
No. Section 6 of the LLP Act 2008 mandates a minimum of two partners and Section 7 mandates a minimum of two designated partners (both individuals, with at least one resident in India). A single person seeking limited liability with sole control should consider an OPC (One Person Company) under Section 2(62) of the Companies Act 2013 instead. If LLP partners reduce below two for more than six months, the sole continuing partner attracts unlimited liability under Section 6(2).
Is a separate office required or can the registered office be a residence?
Under Section 13 of the LLP Act 2008, the registered office can be any premises (residential or commercial) so long as proof of address is filed and the premises is accessible for communication. For a residential premises, the rent agreement (if rented) and NOC from the owner along with a recent EB bill (under two months) are filed. Books of account under Section 34 must be maintainable at the registered office.
What is the difference in compliance burden between LLP and private limited company?
LLP compliance is materially lighter — only Form 11 (Annual Return by 30 May) and Form 8 (Statement of Account & Solvency by 30 October) are mandatory, with audit triggered only above ₹25 lakh contribution or ₹40 lakh turnover under Rule 24(8). A private limited company files MGT-7, AOC-4, DIR-3 KYC, DPT-3 and is subject to mandatory audit irrespective of turnover. LLP also has no DDT, no buy-back tax and partner profit share is exempt under Section 10(2A) of the IT Act.
What if Form 3 is not filed within 30 days?
Section 69 of the LLP Act 2008 imposes additional fee of ₹100 per day with no upper cap until Form 3 is actually filed (capped at ₹1,000 for Small LLPs under the 2022 amendment). For an LLP that delays Form 3 by say 200 days, the additional fee is ₹20,000 — often more than the entire incorporation cost. Schedule I default provisions also continue to apply during the gap, which may distort profit-sharing if not aligned with partner intent.
What is Form 8 for an LLP?

Form 8 is the Statement of Account and Solvency filed by 30 October each year under Section 34 of the LLP Act 2008 containing audited financials where applicable and a solvency declaration by designated partners.

How is an LLP taxed?

An LLP is taxed at 30% flat plus surcharge and cess on taxable income. Partner profit-share is exempt under Section 10(2A) of the Income-tax Act. Partner remuneration is deductible within Section 40(b) ceilings.

Is partner remuneration in an LLP taxable?

Yes, partner remuneration is taxable in partner hands as business income under Section 28(v) of the Income-tax Act and deductible to the LLP within Section 40(b) ceilings provided the LLP Agreement quantifies it precisely.

What is the Section 40(b) ceiling on partner remuneration?

Section 40(b) of the Income-tax Act allows deduction of 90% of first ₹3 lakh book profit and 60% of balance book profit, subject to quantification in the LLP Agreement per Section 40(b)(v).

What is an LLP and the policy origin of the LLP Act 2008

International benchmarks and OECD considerations

The LLP Act 2008 was drafted with explicit reference to the United Kingdom's Limited Liability Partnerships Act 2000, the United States Uniform Limited Liability Company Act (which adopts the LLC nomenclature for a similar economic vehicle), and the Singapore Limited Liability Partnerships Act 2005. The OECD Corporate Governance Factbook records that hybrid vehicles of this kind have proliferated across jurisdictions to support professional-services firms and small-to-medium enterprises. The World Bank's earlier Doing Business indicators ranked India's company-incorporation procedures critically, prompting the Ministry of Corporate Affairs to consolidate ease-of-doing-business reforms — including the MCA21 v3 platform and the FiLLiP integrated form — which have reduced LLP incorporation timelines from several weeks under the original LLP-Form-1 architecture to a target of three to five working days under the present FiLLiP regime.

The LLP (Amendment) Act 2021 reform package

The Limited Liability Partnership (Amendment) Act 2021 introduced a substantial liberalisation package effective from the notified dates in 2022. The amendment decriminalised twelve compoundable offences, transferring adjudication to a designated Adjudicating Officer under the newly inserted Section 76A and Section 76B, mirroring the parallel reforms in the Companies (Amendment) Act 2020. The amendment introduced the concept of a small LLP under Section 2(1)(ta) — defined as an LLP with contribution up to twenty-five lakhs and turnover up to forty lakhs — eligible for reduced compliance and reduced penalty exposure. The amendment also introduced provisions for non-convertible debentures by LLPs subject to RBI parameters, the appointment of special courts under Section 67A, and expanded the Registrar's powers of inquiry. These reforms reflect the Ministry of Corporate Affairs' wider decriminalisation agenda following the Company Law Committee recommendations.

Statutory definition under Section 3 of the LLP Act 2008

A Limited Liability Partnership in India is a body corporate formed and incorporated under the Limited Liability Partnership Act 2008, possessing a legal entity separate from that of its partners under Section 3(1) and perpetual succession under Section 3(2). The form was introduced after recommendations from the Naresh Chandra Committee on Regulation of Private Companies and Partnerships in 2003 and the J.J. Irani Committee on Company Law in 2005, both of which observed that India needed a hybrid vehicle combining the operational flexibility of a partnership with the limited-liability protection of a company. Section 4 of the Act expressly disapplies the Indian Partnership Act 1932 to an LLP, marking the LLP as a distinct juridical category. The LLP form was modelled substantially on the United Kingdom Limited Liability Partnerships Act 2000, though India's version diverges materially on the tax-transparency question — the Indian LLP is a separate taxable entity under Section 2(23)(i) of the Income-tax Act 1961, not a pass-through vehicle.

The LLP Agreement and Form 3 filing

First Schedule default rules and their displacement

In the absence of an LLP Agreement, or to the extent that the LLP Agreement is silent on any matter, the First Schedule to the LLP Act 2008 governs the mutual rights and duties of partners. The First Schedule rules include: equal sharing of capital, profits and losses; no remuneration to partners for participation in management; admission of new partners requiring unanimous consent; majority decision-making on ordinary matters; and inspection-of-books rights for every partner. Most operational LLPs find these defaults inadequate — for instance, equal profit-sharing rarely reflects actual contribution — and accordingly draft a comprehensive LLP Agreement displacing the First Schedule on profit allocation, capital contribution, decision thresholds, partner admission and retirement, and dispute resolution. The drafting must explicitly state which First Schedule provisions are being modified.

Key drafting clauses for an operational LLP

A well-drafted LLP Agreement covers: capital contribution by each partner with valuation methodology under Section 33; profit-sharing ratio with potential disconnect from contribution ratio; partner remuneration (taxable in the partner's hands under Section 28(v) of the Income-tax Act read with Section 40(b) limits); decision-making thresholds with reserved matters requiring supermajority; designated-partner roles and indemnities; admission, retirement and expulsion mechanisms with attendant valuation triggers; dispute resolution typically through arbitration under the Arbitration and Conciliation Act 1996; restrictive covenants such as non-compete and non-solicit subject to Section 27 of the Indian Contract Act 1872; and intellectual-property assignment provisions where the LLP is to hold creator-partners' work. Each clause must be tested against the LLP Act and ancillary statutes.

Subsequent changes through Form 4 and Form 3 supplementary filings

Any change in the LLP Agreement after incorporation — for instance, alteration of profit-sharing ratio, admission of a new partner, retirement of an existing partner, change in designated-partner status, change in contribution, or change in the LLP's permitted business — must be filed in Form 3 within thirty days of the change under Rule 21 of the LLP Rules 2009. Concurrently, partner-specific changes such as admission, cessation or change in designation require Form 4 filing within thirty days under Rule 22. Failure to file attracts the Section 76A graduated penalty regime. The Registrar updates the public register on processing the forms; in practice the LLP's effective operational position diverges from the public register where filings are delayed, creating evidentiary challenges in subsequent disputes.

Post-incorporation compliances and PAN-TAN-GST integration

PAN and TAN allotment through MCA-CBDT integration

Following the integration of the Ministry of Corporate Affairs and the Central Board of Direct Taxes workflows, PAN under Section 139A and TAN under Section 203A of the Income-tax Act 1961 are now allotted simultaneously with the Certificate of Incorporation. The LLP's PAN is generated from the LLPIN and dispatched to the registered email; TAN is allotted in the LLP's name. Possessing PAN at incorporation enables immediate opening of the LLP's current account, GST registration where required, and contractual engagement with vendors who insist on PAN quotation under Section 206AA. The TAN enables the LLP to deduct TDS under Chapter XVII-B from its first vendor payment, avoiding Section 201 short-deduction exposure and associated interest under Section 201(1A).

GST registration applicability under CGST Section 22 and 24

The LLP's GST-registration obligation arises under Section 22 of the Central Goods and Services Tax Act 2017 when aggregate turnover crosses forty lakhs for exclusive suppliers of goods (per Notification 10/2019) or twenty lakhs for services or mixed suppliers; Section 24 overrides the threshold for inter-State suppliers, e-commerce operators, casual taxable persons and reverse-charge liable persons. Many newly-incorporated LLPs voluntarily register under Section 25(3) to enable ITC pass-through to corporate clients and to file LUTs for zero-rated export of services. GST registration documents for an LLP include the LLP's PAN and certificate of incorporation, the LLP Agreement, designated-partner identity proofs, registered-office address proof, bank-account proof, and Class 3 DSC of the authorised signatory — EVC is not permitted for LLPs.

Bank account opening and FATCA-CRS reporting

Opening a current account in the LLP's name requires the certificate of incorporation, LLP Agreement, PAN, partner KYC documents, board-equivalent partner resolution authorising the account opening and operational signatories, and a recent utility bill of the registered office. Banks apply the Reserve Bank of India's Master Direction on Know Your Customer 2016 and the Prevention of Money-Laundering Act 2002 to the LLP at the customer-due-diligence stage. The LLP must also complete FATCA-CRS self-certification under Rules 114F to 114H of the Income-tax Rules 1962, declaring whether any partner is a US person under FATCA or a reportable person under the Common Reporting Standard; misdeclarations attract penalty under Section 271FAA of the Income-tax Act.

Annual compliance calendar Form 11 and Form 8

Penalty regime under Section 76A for filing delays

The LLP (Amendment) Act 2021 introduced Section 76A and Section 76B, decriminalising several compoundable offences and shifting adjudication to a designated Adjudicating Officer. For default in filing Form 11 or Form 8, Section 76A prescribes graduated penalty: for small LLPs, a reduced penalty schedule applies; for other LLPs, one-hundred rupees per day of continuing default subject to specified caps. The earlier uncapped penalty regime, which had occasionally produced disproportionate accumulations running into several lakhs for years-old defaults, was a primary driver of the 2021 reform. Compounding remains available under Section 39 where the LLP makes voluntary disclosure and pays the prescribed compounding fee; the adjudicating-officer route under Section 76A is alternative.

Form 11 annual return under Rule 25

Every LLP must file Form 11 — the Annual Return of an LLP — with the Registrar of Companies within sixty days from the close of the financial year, that is, by thirtieth May. Form 11 captures the LLP's particulars at the financial-year-end including registered office, partners and designated partners with their contribution levels, body-corporate partner details where applicable, summary of partner-change activity during the year, and details of any pending compounding applications. The form must be digitally signed by a designated partner and certified by a company secretary in practice where the LLP's total contribution exceeds fifty lakhs or turnover exceeds five crores; below those thresholds, designated-partner certification suffices.

Form 8 statement of account and solvency under Rule 24

Every LLP must file Form 8 — the Statement of Account and Solvency — within thirty days from the end of six months from the close of the financial year, that is, by thirtieth October. Form 8 includes a statement of solvency declared by the designated partners, the LLP's statement of accounts comprising a balance sheet and income-and-expenditure statement prepared in accordance with the LLP Rules 2009, and disclosure of related-party transactions and contingent liabilities. LLPs with turnover exceeding forty lakhs or contribution exceeding twenty-five lakhs require statutory audit under Rule 24(8) by a chartered accountant in practice; the audit report and audited statements accompany Form 8. The 2021-amendment small-LLP threshold provides a reduced compliance carve-out.

Glossary

Plain-English glossary for this service

Terms you will hear in this area — Across Ennore, where port services businesses dominate the local compliance profile.

Section 184

Section 184 of the Income Tax Act allows an LLP to deduct partner remuneration only if the LLP Agreement specifically authorises it and the amount is within the prescribed slab — ₹1,50,000 or 90% of first ₹3 lakh book profit (whichever is higher), then 60% of the balance book profit. Remuneration paid without an enabling clause is fully disallowed at assessment.

Solvency Declaration

A statement signed by the designated partners in Form 8 declaring that the LLP is in a position to pay its debts as they fall due in the normal course of business. A false solvency declaration attracts personal liability of designated partners under Section 34A and can lead to fraud proceedings.

Supplementary LLP Agreement

A deed amending the original LLP Agreement to record changes — partner admission, retirement, profit-sharing ratio change, business object expansion, or any other variation. Must be stamped per the State Schedule and filed in Form 3 within 30 days of execution. Several supplementary agreements can coexist; together with the original they form the operative agreement.

DIR-3 KYC

The annual KYC filing for every individual holding a DPIN or DIN, due by 30 September each year. Failure to file leads to automatic deactivation of the DPIN on 1 October, blocking the partner from signing any MCA filing until the DPIN is reactivated with a late fee of ₹5,000 under Rule 12A of the LLP Rules.

Strike-Off

Removal of an LLP's name from the register by the Registrar under Section 75 of the LLP Act, typically for non-filing of Form 8 and Form 11 for two consecutive years, or on voluntary application by the partners. A struck-off LLP loses legal existence; revival requires an application to NCLT under Section 252 of the Companies Act read with LLP Rules.

Conversion

The process of converting an existing partnership firm, private limited company, or unlisted public company into an LLP under the Second, Third, or Fourth Schedules respectively of the LLP Act 2008. Conversion vests all assets, liabilities, contracts, and employees of the predecessor in the LLP by operation of law, but bankers and counterparties usually require separate novation documents.

Additional Fee

The late-filing fee charged by MCA for any LLP form filed beyond its due date. For most LLP forms it is ₹100 per day with no upper cap — unlike companies where the cap kicks in. This makes Form 3, Form 8, and Form 11 delays disproportionately expensive; a 3-year-delayed Form 8 costs roughly ₹1.10 lakh per form per year.

Registered Valuer

A professional registered under Section 247 of the Companies Act 2013 read with the Companies (Registered Valuers and Valuation) Rules, authorised to value assets, securities, or financial instruments. For LLP purposes, contribution in kind under Section 32 must be valued by a registered valuer or other notified professional and the certificate annexed to the LLP Agreement.

Form 17

The MCA form for converting a partnership firm into an LLP under the Second Schedule. Filed along with FiLLiP, it carries the consent of all partners, statement of assets and liabilities, list of creditors with their consent, and details of any existing charges on assets. Conversion is effective from the date the Registrar issues the certificate of registration.

LLP

LLP is a Limited Liability Partnership — a body corporate formed and registered under the LLP Act 2008 having a legal personality separate from that of its partners, perpetual succession and the capacity to hold property, sue and be sued in its own name.

Designated Partner

Designated Partner is a partner specifically named in the incorporation document or appointed later who carries statutory responsibility for compliance with the LLP Act, including signing of annual return and Statement of Account. At least two are mandatory; at least one must be resident in India.

DPIN

DPIN is Designated Partner Identification Number — the unique identifier earlier allotted by MCA exclusively to designated partners of an LLP. From 2011 onwards it has been merged with the Director Identification Number, so a single DIN serves both company and LLP appointments.

Healthcare
Common issue: Healthcare LLPs operating diagnostic or single-specialty clinics often fail to harmonise the LLP Agreement with the Clinical Establishments (Registration and Regulation) Act 2010 and the relevant State Medical Council rules on professional-entity ownership. Some State councils prohibit non-medical designated partners from holding majority economic interest.
How we handle it: Verify the State medical-council position on LLP ownership before incorporation; structure designated-partner allocations to comply with majority-medical-partner rules where applicable; cross-reference Clinical Establishments Act registration with the LLP Agreement's permitted-business clause to avoid Section 7 disqualification risk.
Healthcare
Common issue: Pharmaceutical and medical-device distribution LLPs sometimes miss the Drugs and Cosmetics Act licensing obligations that survive incorporation. Wholesale and retail drug licences are personal to the licensee and require formal transfer or fresh issuance upon change of constitution from partnership to LLP under Section 55.
How we handle it: Sequence drug-licence transfer applications concurrently with the Section 55 partnership-to-LLP conversion; obtain prior approval from the State Drugs Controller; ensure the LLP's permitted business under the LLP Agreement explicitly covers pharmaceutical wholesale and retail, and maintain GST registration continuity across conversion.
Construction and Real Estate
Common issue: Real-estate development LLPs face Section 4 of the Real Estate (Regulation and Development) Act 2016 registration requirements that are not waived by the LLP corporate-form choice. Promoter-designated-partners under RERA assume project-level personal liability that the LLP shield does not displace.
How we handle it: Structure each real-estate project as a project-specific LLP under Section 11; maintain segregated escrow accounts mandated under RERA Section 4(2)(l)(D); ensure that the LLP Agreement explicitly defines promoter-designated-partner roles and indemnities; obtain RERA registration in parallel with the LLPIN issuance.
Construction and Real Estate
Common issue: Construction LLPs working as sub-contractors to listed developers face Section 194-IA TDS at one percent on consideration for transfer of immovable property and Section 194Q TDS at zero-point-one percent on purchases. The LLP's pass-through tax-transparency in some jurisdictions does not extend to Indian tax law; the LLP is a separate taxable entity under Section 2(23)(i).
How we handle it: Configure the LLP's Tally or ERP for Section 194-IA and 194Q deduction triggers from day one; obtain TAN under Section 203A concurrently with LLPIN; file quarterly TDS returns Form 26Q within statutory due dates; reconcile Form 26AS at quarter-end to detect any short-deduction Section 201 exposure.
Financial Services
Common issue: Non-banking financial activities are restricted for LLPs under RBI's NBFC framework — the RBI does not register LLPs as NBFCs under Chapter III-B of the RBI Act 1934. Founders sometimes incorporate an LLP intending to undertake lending or investment business in contravention of this prohibition.
How we handle it: Restrict the LLP's permitted business under the LLP Agreement to advisory, fintech-platform, or non-principal-lending activity; route any actual lending through a separately incorporated Private Limited Company holding an NBFC certificate of registration under Section 45-IA of the RBI Act; document the firewalled operational architecture clearly.

Audit thresholdLogistics

Audit threshold breached mid-year; mandatory audit triggered under Rule 24(8)

Issue: A logistics LLP that began the year with ₹35 lakh projected turnover ended with ₹46 lakh actual turnover. The promoters had not engaged an auditor because Rule 24(8) of LLP Rules 2009 audit was only triggered above ₹40 lakh. The discovery happened in April when accounts closed and Form 8 with auditor signature was due in October leaving limited time to onboard an auditor.
Approach: We engaged an FCA on consent letter dated within the financial year-end window, ensured no Section 144 disqualification, drafted the audit engagement letter with scope under SA 210 and SA 230, recreated the books-of-account with vouchers and bank reconciliations, and supported the auditor through statutory testing. The audit report was signed and Form 8 filed before the 30 October deadline.
Outcome: Audit completed at fee of ₹35,000; Form 8 filed on time; no Section 35(3) penalty exposure; clean audit opinion supported a working-capital bank facility of ₹25 lakh.
Partner loanLogistics

Partner-loan to LLP structured to avoid Section 269SS / 269T trigger

Issue: A logistics LLP needed short-term funding and the designated partner proposed a personal loan of ₹15 lakh to the LLP. Section 269SS of the Income-tax Act prohibits cash receipt of loans exceeding ₹20,000 and Section 269T mirrors the prohibition on repayment. The LLP was at risk if any loan tranche was received or repaid in cash.
Approach: We routed the entire ₹15 lakh through banking channels — RTGS for receipt and NEFT for repayment — documented the partner-loan in a written loan agreement on appropriate stamp paper with interest at 12% per annum, recorded the loan in the LLP's books as 'loan from partner' separate from capital contribution, ensured TDS under Section 194A was deducted on interest payments where partner was an individual.
Outcome: Section 269SS / 269T penalty exposure of 100% of loan amount averted; loan serviced on time; LLP working-capital cycle preserved; partner's interest income of ₹1.8 lakh per annum locked in as documented family-cashflow stream.
Contribution in kindLogistics

Capital contribution in kind not valued — Form 3 mismatch

Issue: A logistics LLP showed capital contribution of ₹15 lakh in the incorporation papers but in reality one partner contributed two delivery vans valued informally at ₹8 lakh. Section 32 of the LLP Act requires contribution other than money to be valued by a practising professional. The LLP Agreement uploaded in Form 3 did not carry a valuation certificate, and the audit at the end of year 2 flagged it.
Approach: Engaged a Registered Valuer for the vans as on the date of contribution. Drafted a supplementary LLP Agreement under Section 23(2) recording the in-kind contribution with the valuer's certificate annexed. Filed Form 3 as an amendment with the valuation report. Reconciled the partner capital account in the books to match the valuation. Treated the differential ₹7 lakh as partner loan, properly documented with interest under Section 184.
Outcome: Supplementary agreement filed with additional fee ₹1,200; capital account reconciled; statutory audit qualification removed; partner capital ratio fixed at 53:47 instead of the original disputed 60:40.
Profit allocationMedia

LLP Agreement profit-share ratio changed mid-year — tax allocation defended

Issue: A media LLP changed its profit-sharing ratio mid-year through a supplementary LLP Agreement. The AO sought to apply the changed ratio to the entire year's profit on the basis that the LLP Agreement once executed governed the whole financial year. The change disadvantaged a partner whose actual contribution had been higher during the first half.
Approach: We invoked Section 28 of the Indian Partnership Act 1932 as referred in the LLP Agreement, demonstrated that the supplementary agreement carried a clear effective-date clause, allocated profits proportionately for the pre-change and post-change periods, filed Form 3 amendment within 30 days of the supplementary agreement, and represented before the AO citing established profit-allocation principles for partnership tax cases.
Outcome: AO accepted proportionate allocation; ₹3.4 lakh tax burden reallocated correctly between partners; precedent locked into the LLP's accounting policy and the firm's internal SOP.

Common Questions

LLP FAQ — Ennore

Common questions from Ennore clients. Call 9566-068-468 for specific queries.

Yes. Section 366 of the Companies Act 2013 read with the Companies (Authorised to Register) Rules 2014 permits conversion of an LLP into a company. The LLP must have at least two members (seven for public company), all partners must consent, an advertisement in Form URC-2 must be published, NOC from the Registrar of LLPs must be obtained and Form URC-1 must be filed along with SPICe+ for the new company. The LLP stands dissolved on issue of the certificate of incorporation. Section 47(xiii) of the IT Act may apply for capital gains exemption subject to continuity conditions.
Absolutely. Most Ennore clients complete the entire LLP process remotely — we collect documents on WhatsApp or email, share drafts for your approval, and file on your behalf. A visit to our Maduravoyal office is optional, never required.
A Limited Liability Partnership is a body corporate formed and incorporated under Section 3 of the Limited Liability Partnership Act 2008 with perpetual succession and a legal entity separate from its partners. Section 14 confers it the capacity to sue and be sued, acquire and dispose of property and have a common seal. Section 28 limits partner liability to the agreed contribution under the LLP Agreement, save where Section 31 fastens unlimited liability for fraud. The LLP combines the operational flexibility of a partnership with the limited liability shield of a company.
Rule 24(8) brings the audit obligation alive once contribution crosses twenty-five lakh or turnover passes forty lakh inside the financial year. LLPs sitting below both lines stay outside the statutory audit net, although partners can elect a voluntary auditor where lender or counterparty diligence demands one. Form 8, certified under Section 34(4), carries the audited statements to the registry on or before end-October each year and incorporates a designated-partner statement of solvency. Income-tax audit under Section 44AB sits as a separate test driven by its own turnover and presumptive thresholds.
Yes. Ennore sits squarely within the Chennai North area we serve every day, and we have handled LLP Registration for heavy engineering and other clients across this part of Chennai. That local familiarity means fewer surprises for you.
Yes. Under Section 23(4), in the absence of an LLP Agreement on any matter, the mutual rights and duties of the partners and of the LLP are determined by the provisions of Schedule I. Schedule I inter alia provides for equal profit sharing irrespective of contribution, no remuneration to partners, no interest on contribution, decisions by majority with each partner having one vote, and unanimous consent for admission of new partners — provisions which are rarely commercially desirable, making a custom LLP Agreement essential.
Form 3 is the e-form prescribed under Rule 21 of the LLP Rules 2009 for filing the LLP Agreement (and any subsequent change to it) with the Registrar. The original LLP Agreement must be filed in Form 3 within 30 days of incorporation as per Section 23(2). Late filing attracts additional fee of ₹100 per day under Section 69 of the LLP Act 2008 with no upper cap, making Form 3 one of the most costly LLP defaults to ignore. Any change in the LLP Agreement is also filed in Form 3 within 30 days of the change.
A consultant who knows the Chennai North jurisdiction and how Ennore businesses operate moves faster and spots issues an online-only provider would miss. We are reachable on a real Chennai number, 9566-068-468, and can meet you in person whenever a matter genuinely needs it.
Form 11 is the Annual Return of an LLP prescribed under Section 35 read with Rule 25 of the LLP Rules 2009. It captures details of partners and contribution as on 31 March of the financial year. The due date is 30 May of the immediately following financial year — for FY 2025-26, Form 11 is due by 30 May 2026. Late filing attracts ₹100 per day additional fee under Section 69 with no cap. Form 11 must be certified by a designated partner and, where contribution exceeds ₹50 lakh or turnover exceeds ₹5 crore, by a practising Company Secretary.
Under Rule 24(8) of the LLP Rules 2009, audit of accounts is mandatory only where contribution exceeds ₹25 lakh or turnover exceeds ₹40 lakh in the financial year. LLPs below both thresholds are not required to get accounts audited under the LLP Act, although Section 44AB of the Income-tax Act 1961 will independently apply once business turnover crosses ₹1 crore (or ₹10 crore where digital receipts and payments are 95% or more) or professional receipts cross ₹50 lakh.
Delays in statutory work can mean penalties, interest or blocked services that usually cost far more than acting on time. For Ennore clients we track the relevant due dates and remind you in advance so LLP stays on schedule. Call 9566-068-468 if you suspect you have already missed a deadline.
Three differences carry the most weight. First, partner exposure inside an LLP stops at the agreed contribution by virtue of Section 28 of the 2008 statute, whereas the 1932 framework via Section 25 spreads joint-and-several liability to the partner's full personal estate. Second, the agency rule shifts — under Section 26 each partner stands as agent of the LLP alone, not of co-partners, contrasting with the mutual-agency baseline that Section 18 of the 1932 Act prescribes. Third, body-corporate status with perpetual succession via Section 14 keeps the LLP alive across membership churn, while a firm typically dissolves on partner exit unless the deed states otherwise.
Stamp duty on the LLP Agreement is levied by the State under the Indian Stamp Act 1899 as adapted by the State, since LLP is a State subject for stamp purposes. In Tamil Nadu the LLP Agreement is stamped under Article 40 (partnership) of Schedule I to the Indian Stamp Act as in force in Tamil Nadu — typically ₹500 where capital contribution does not exceed ₹1 lakh, with incremental duty for higher contribution slabs. In Maharashtra the duty under Article 47 ranges from ₹500 up to ₹15,000 on a sliding scale by contribution. The agreement must be executed and stamped before filing Form 3.
No. Section 44AD of the Income-tax Act 1961 is available only to a resident individual, HUF or partnership firm (other than an LLP). LLPs are explicitly excluded from Section 44AD by the proviso. However, a professional LLP (legal, medical, engineering, architectural, accountancy, technical consultancy, interior decoration or notified profession) can avail Section 44ADA where gross receipts do not exceed ₹50 lakh, declaring 50% of receipts as profit. Beyond these limits, regular books and computation under normal provisions apply.
Remuneration paid to working partners and interest on capital are deductible to the LLP under Section 40(b) of the Income-tax Act, subject to the LLP Agreement specifically authorising such payment and prescribing the manner of computation. Interest is capped at 12% per annum simple. Remuneration is capped at — on first ₹6 lakh of book profit (or in case of loss): ₹3 lakh or 90% of book profit whichever is higher; on balance book profit: 60% (limits enhanced by Finance (No. 2) Act 2024 for AY 2025-26 onwards). Remuneration in the partner's hands is taxable under 'Profits and Gains of Business' under Section 28(v).
